Terms & Conditions

Adspire Marketing

Welcome to Adspire Marketing. The following Terms and Conditions ("Terms") set out the basis on which Adspire Marketing ("Adspire," "we," "us," "our") delivers services to our clients ("Client," "you," "your"), including advertising, website development, social media management, and related digital services.

1. Definitions

  • Agreement — these Terms together with any applicable Proposal, Order Form, Invoice, or signed written agreement.

  • Ad Spend — funds the Client sets aside for running campaigns on advertising platforms such as Meta.

  • Campaign — any advertising initiative built, managed, or optimised by Adspire.

  • Content — images, video, copy, graphics, logos, or other materials, whether supplied by the Client or produced by Adspire.

  • Services — the marketing, advertising, website development, social media management, lead generation, or other work agreed in writing.

  • Service Fee — the amount charged by Adspire for the Services.

  • Third-Party Platforms — external platforms used to deliver the Services, such as Meta, Facebook, Instagram, WhatsApp, Google, Framer, and similar providers.

Section headings are included for readability only and do not affect how these Terms are interpreted.

2. How This Agreement Applies

These Terms apply to all work Adspire performs unless a separate written agreement says otherwise. By accepting a Proposal, paying an invoice, or instructing us to begin work, the Client agrees to this Agreement. Work begins once payment has been received and continues for the period stated in the Proposal, or until either party ends it under the termination terms below. Any change to scope, pricing, or services must be confirmed in writing before it takes effect.

3. What We Provide

Depending on the package selected, Adspire may deliver:

  • Setup and ongoing management of Meta advertising campaigns

  • Development of advertising creative

  • Lead generation campaigns

  • Social media management

  • Website design, development, and upkeep

  • Landing pages

  • Ongoing campaign monitoring and optimisation

  • Performance reporting

We carry out this work with reasonable skill and care, and may rely on third-party tools and platforms where needed. We may also adjust campaign settings, targeting, creative, or budget allocation where this is reasonably intended to improve results or to keep the campaign compliant with platform rules.

4. What We Need From You

To deliver the Services, the Client agrees to:

  • Supply the information, materials, access, and approvals we reasonably require

  • Ensure anything supplied to us is accurate, lawful, and fit for use

  • Grant access to relevant ad accounts, business pages, and websites

  • Take responsibility for the accuracy of business details, pricing, offers, and claims used in advertising

  • Review and approve creative and campaign materials when asked

Delays in providing access, information, approvals, or payment may push back project timelines.

5. Advertising Spend and Results

Ad Spend is kept separate from our Service Fee unless we've agreed otherwise in writing, and is paid directly to the advertising platform or handled as separately agreed. We do not promise a set number of leads, sales, bookings, revenue, or return on spend — outcomes depend on factors beyond our control, including platform algorithms and policies, market conditions, your pricing and offer, your website's conversion performance, how quickly leads are followed up, the quality of what's being sold, and changes made by third-party platforms. We monitor and optimise campaigns using the data available to us, and the Client understands that new campaigns typically go through a learning period where results can vary.

6. Fees and Payment

The Client pays the Service Fee set out in the Proposal, Invoice, or written agreement. Unless agreed otherwise, payment is due before work begins, and the Client remains responsible for Ad Spend and any other agreed third-party costs. We may pause work if payment isn't received by the due date. Anything outside the agreed scope may be billed separately, subject to the Client's sign-off. Fees exclude VAT unless stated otherwise, and once work has started, payments are non-refundable except where the law requires otherwise or we've agreed differently in writing.

7. Ownership and IP

The Client keeps ownership of any materials, trademarks, logos, or content they supply. Once full payment has been made, the Client receives rights to use the final deliverables created specifically for them. Adspire retains ownership of its own pre-existing tools, systems, processes, templates, and know-how, and may apply general skills and experience gained on a project to other client work, provided nothing confidential is shared. We may also showcase completed work in our portfolio or marketing unless the Client asks us not to, in writing.

8. Confidentiality

Both parties agree to keep non-public business, financial, technical, or commercial information they receive from the other side confidential, and to use it only for the purposes of this engagement. This doesn't apply to information that's already public, independently developed, or that must be disclosed by law.

9. Third-Party Platforms

Services may rely on platforms like Meta, Facebook, Instagram, WhatsApp, Google, and Framer. Adspire isn't responsible for outages, restrictions, suspensions, or policy changes made by these platforms, and the Client is responsible for complying with each platform's own terms. We're not liable for delays these platforms cause.

10. Websites

Where website work is part of the engagement, the scope is set out in the Proposal. The Client provides the content, imagery, and approvals needed to move the project forward, and anything outside the agreed scope may be billed separately. Hosting, domain registration, and other third-party subscription costs are the Client's responsibility unless agreed otherwise, and we're not responsible for problems caused by external hosting providers, domain registrars, plugins, or similar third-party services.

11. Cancelling or Ending the Agreement

Either party can end the Agreement with written notice, as set out in the Proposal — or, where no notice period is specified, with 30 days' written notice. We may pause or end Services immediately if the Client doesn't pay when due, provides false or unlawful information, asks us to do something that breaches the law or platform rules, or otherwise seriously interferes with our ability to deliver. Ending the Agreement doesn't cancel fees already owed, and any rights or obligations that existed beforehand remain in place.

12. Liability

Adspire isn't liable for indirect or unforeseeable losses connected to the Services, for losses caused by the Client not following up on leads, approving content, or giving access, or for issues caused by third-party platforms, ad account restrictions, or hosting problems outside our control. Nothing here limits liability that can't legally be limited.

13. General Terms

Adspire and the Client operate as independent parties — nothing here creates a partnership, joint venture, or employment relationship. Rights or obligations under this Agreement can't be transferred without written consent, except where agreed. If any part of these Terms turns out to be unenforceable, the rest still stands. Changes must be made in writing and agreed by both sides. These Terms represent the full agreement between the parties on this subject and replace any earlier discussions or agreements about the same matter.

14. Governing Law

This Agreement is governed by the laws of the Republic of South Africa, and any disputes fall under the jurisdiction of the South African courts.
